Confidentiality

AdYogi at all times maintains the utmost confidentiality regarding the Confidential Information and the contents of the Agreement and any business, technical or financial information that is, at the time of disclosure, designated in writing as confidential or would be understood as such by AdYogi to the Agreement, exercising reasonable business judgment, to keep all such information as confidential.

AdYogi does not publicize, disclose or allow disclosure of any information about the Discloser, its present or former partners, managing directors, directors, officers, employees, agents or Company, its or their business and financial affairs, personnel matters, operating procedures, organization responsibilities, marketing matters, and policies or procedures, with any reporter, author, producer or any other person or entity, or take any action to publicize or disclose any such information in any way or take any such steps as are likely to result in such information being made available to the general public in any form, including but not limited to books, articles or writings of any other kind, as well as film, videotape, audiotape or any other medium.

Upon the termination of the services, AdYogi returns all copies of documents, papers or other material which may contain or be derived from the Confidential Information, including all Proprietary Information, which is in the Party's possession or control.

Copyrights, Patents, and Other Intellectual Property Rights

All copyrights, branding rights and infrastructure rights, patents, and other intellectual property in the data, records, and other materials made available by you shall continue to remain your property.

AdYogi shall have a limited license to use the above-said data and material only for the purpose of providing services under the Agreement. AdYogi shall have no right to publish the same in whole or in part, copyright, etc., unless consented in writing or by email by an authorized representative of the Company.

AdYogi does not infringe any copyrights, designs, patents, trademarks, trade secrets, and similar intellectual property rights of the other Party.

Cancellation and Refunds

You can cancel your subscription by giving 30 days' advance notice. AdYogi Platform is a self-serve platform, and you can schedule the cancellation under the billing tab.

No refunds will be given for monthly subscriptions. For Quarterly and Half Yearly subscriptions, refunds will be processed on a Pro-rata basis based after settling the Fee due during the 30 day notice period.

Taxes

All statutory taxes/levies (including GST (Goods & Service Tax) presently levied on advertising services) shall be borne and paid by you to AdYogi. The Company shall deduct/withhold Income Tax as per the rates prescribed under the provisions of Section 194C of the Income Tax Act, 1961 (Advertising Services) (currently at the date of signing this Agreement, the subject rate is 2.00% on the amount paid) and shall provide AdYogi with the Tax Deduction Certificates periodically as prescribed under the provisions of the Income Tax Act, 1961. All other non-advertising services shall be subject to tax deduction at the appropriate rate prescribed under the relevant provisions of the Income Tax Act, 1961.
AdYogi will refund the TDS amount after due validation within 7 days from the receipt of the TDS certificate.

Governing Law and Jurisdiction

All agreements governed by and shall be interpreted according to the laws of India. AdYogi consent to the jurisdiction of the courts in New Delhi.

Dispute Resolution

AdYogi herein agrees that if any dispute or differences arise within the agreement then AdYogi shall strive to resolve such disputes or differences upon due notice within a period of 15 (fifteen) days by way of an amicable settlement. In the event that the dispute still persists then, it must be referred to the arbitration, of a sole arbitrator.  The arbitration shall be subject to the Arbitration and Conciliation Act, 1996 as may be amended from time to time.   The seat and venue of arbitration shall be New Delhi. The proceedings shall be undertaken in English.
